Terms & Conditions
These terms govern your access to and use of TenderPro SA. TenderPro SA is a platform owned and operated by PNP AIIIH (Pty) Ltd, and your agreement is with PNP AIIIH (Pty) Ltd.

1. Acceptance and eligibility
By creating an account, purchasing a subscription, accessing or continuing to use TenderPro SA, you agree to these Terms & Conditions and the policies linked from them. If you use the platform for an organisation, you confirm that you have authority to bind that organisation. You must be legally capable of entering into this agreement.
2. The service
TenderPro SA supports South African construction tender intake, document extraction and review, manual on-plan takeoffs, location-based rate build-ups, supplier-price evidence, estimates and exports. It is a professional support tool and does not replace qualified judgement, verified quotations, approved designs or contractual review.
Subject to these terms and your selected plan, PNP AIIIH (Pty) Ltd grants you a limited, non-exclusive, non-transferable and revocable right to use the platform for your own lawful business purposes.
3. Accounts and information
You must provide accurate, current information and keep it updated. You are responsible for safeguarding your login credentials and for activity under your account. Promptly notify PNP AIIIH (Pty) Ltd using the contact method made available with the service if you believe your account or data has been compromised.
4. Acceptable use
You must not use TenderPro SA to break the law; commit fraud; send spam; infringe intellectual-property, privacy or other rights; upload malicious code; interfere with security; probe, scrape or overload the service; bypass technical or plan limits; reverse engineer the platform; or resell, sublicense or redistribute access without written permission.
You must not use automated extraction or other AI-supported features to create or distribute illegal content, deceptive deepfakes, hateful or abusive material, malware, or instructions intended to defeat safety controls. You may not attempt to jailbreak, manipulate or misuse automated systems.
5. Your content and automated outputs
You retain your rights in tender documents, plans, BOQs, quotations, prompts and other content you provide. You confirm that you have the rights and permissions needed to submit that content. You grant PNP AIIIH (Pty) Ltd a limited licence to host, copy, process and display it only as needed to provide, secure and improve the service.
To the extent permitted by law, you may use outputs generated for you, but you are responsible for checking their accuracy, suitability and lawful use. Automated extraction and other outputs may be incomplete or inaccurate and are not engineering, quantity-surveying, financial, legal, tax or other regulated professional advice.
Rights holders may report alleged infringement using the contact method made available with the service. We may remove or restrict disputed content and may suspend repeat infringers after appropriate review.
6. Our intellectual property
PNP AIIIH (Pty) Ltd and its licensors retain all rights in TenderPro SA, including its software, workflows, documentation, visual identity, trade marks and branding. Except for the limited right to use the service, no rights are transferred to you.
7. Plans, payments and renewals
Plan prices, billing periods and usage limits are shown on the Plans & pricing page and at checkout. Paid subscriptions renew for the selected billing period until cancelled. Upgrades, downgrades, billing, taxes, cancellations and refunds are also governed by Paddle’s Buyer Terms.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

We may restrict, suspend or terminate access for a material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. We may remove or restrict content and refuse or filter automated outputs where needed for safety, compliance or the rights of others.
You may cancel through the available subscription controls. When access ends, features may become unavailable, but records may be retained for the periods described in the Privacy Notice or as required by law. Contact support before termination if you need help exporting available records.
9. Availability, warranties and responsibility
We work to keep TenderPro SA available and secure, but do not guarantee uninterrupted, error-free or permanently available performance. To the fullest extent permitted by law, the service is provided “as is” and implied warranties, including merchantability and fitness for a particular purpose, are excluded.
You remain responsible for prompts, inputs, measurements, supplier evidence, assumptions, use of outputs and the final tender. Review the Accuracy Disclaimer & Applicable Standards before relying on platform information.
10. Liability and indemnity
To the fullest extent permitted by law, PNP AIIIH (Pty) Ltd will not be liable for indirect, incidental, special or consequential loss, or loss of profit, opportunity, data or goodwill. Our total aggregate liability arising from the service will not exceed the fees you paid for TenderPro SA during the 12 months before the event giving rise to the claim.
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence where applicable. You agree to indemnify PNP AIIIH (Pty) Ltd against third-party claims arising from your unlawful content, misuse of the platform or material breach of these terms.
11. General
Neither party is liable for delay caused by events reasonably beyond its control. You may not assign this agreement without our written consent; we may assign it as part of a restructuring, merger, acquisition or sale of the business. If part of these terms is unenforceable, the remainder continues to apply.
These terms are governed by the laws of the Republic of South Africa, and the courts of South Africa have jurisdiction, subject to any mandatory consumer rights that apply to you.
12. Changes and contact
We may update these terms when the service, law or business arrangements change. The updated date will appear above. Material changes will be communicated through the platform where reasonably practical. Questions or legal notices may be submitted using the contact method made available with the service.
